Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of DF Code, including the desktop application, the marketing and documentation site, the Admin API, and any related services made available under the DF Code name (collectively, the "Service"). By downloading, installing, accessing, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, do not download, install, access, or use the Service.
You may use the Service on behalf of an organization, in which case you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
Description of the service
DF Code is a locally-run, browser-based tool for orchestrating agentic, AI-assisted software development across one or more repositories on infrastructure you control. The Service may connect to third-party command-line tools, model providers, and integrations that you configure (each, a "Connector"), and may communicate with a centrally-hosted Admin API operated by us for the limited purposes described in our Privacy Policy (for example, account authentication and entitlement/plan enforcement).
The Service is provided for use at your own discretion and risk. You are solely responsible for reviewing, testing, and validating any code, commit, pull request, configuration change, or other output that the Service or any Connector produces, before relying on it, merging it, deploying it, or otherwise acting on it.
Accounts and eligibility
Certain features of the Service require you to authenticate (for example, via GitHub OAuth) and may be gated by a subscription plan, usage entitlement, or similar mechanism that we or our Admin API enforce. You are responsible for maintaining the confidentiality of any credentials, tokens, or API keys used with the Service, and for all activity that occurs under your account, whether or not authorized by you.
We may verify, meter, rate-limit, or otherwise enforce entitlements associated with your account at any time, using signed tokens, server-side checks, or any other mechanism we choose, without prior notice.
License to use the service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Service for your own internal software development purposes. You may not copy, modify, reverse engineer, decompile, resell, sublicense, rent, lease, or otherwise distribute the Service or any part of it, except to the extent such restriction is prohibited by applicable law or expressly permitted under a separate open-source license we publish for specific components.
We and our licensors retain all right, title, and interest in and to the Service, including all associated intellectual property rights. These Terms do not grant you any rights to our trademarks, logos, or branding.
Acceptable use
You agree not to use the Service to violate any applicable law; to infringe the intellectual property, privacy, or other rights of any third party; to introduce malware or attempt to gain unauthorized access to any system; to circumvent any usage limits, entitlement checks, or metering mechanisms; or to misrepresent your identity or affiliation. We reserve the right, but have no obligation, to investigate and take any action we deem appropriate in response to suspected violations, including suspending or terminating access.
Local execution and your data
DF Code is designed to run entirely on infrastructure you control. Except as described in our Privacy Policy (for example, account/entitlement records, aggregate usage analytics, and transient handling of Contact form submissions), we do not host, store, process, transmit, back up, or have any access to your source code, workspace or thread content, message or conversation history, credentials, connector configuration, or any other data generated or processed by your local installation of the Service. You are solely responsible for backing up, securing, and maintaining that data.
Any Connector you configure (including third-party AI model providers or CLI tools) operates under its own terms and privacy practices, which are entirely outside of our control. Data you send to a Connector is governed by that Connector's own policies, not by us.
Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT ANY AGENT-GENERATED CODE, SUGGESTION, OR OUTPUT WILL BE ACCURATE, SAFE, SECURE, OR FIT FOR ANY PURPOSE.
You acknowledge that autonomous or semi-autonomous agents may take actions — including modifying files, executing commands, opening pull requests, or interacting with third-party systems — that are unexpected, incorrect, or harmful, and that you are solely responsible for reviewing and controlling the scope of what any Agent, Conductor, Strategy, or Connector is permitted to do in your environment.
Assumption of risk
You expressly assume all risk arising from your use of the Service, including without limitation: data loss or corruption; unintended, incorrect, or destructive code changes, commits, merges, deployments, or command executions performed by an Agent, Conductor, Strategy, or Connector; security vulnerabilities introduced into your code or systems; exposure of credentials or secrets due to misconfiguration; and any consequence of granting the Service or a Connector access to your repositories, infrastructure, or third-party accounts. You are responsible for maintaining independent backups, using version control, and reviewing all changes before they take effect in any environment that matters to you.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OUR OFFICERS, CONTRIBUTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY ACTION TAKEN BY AN AGENT, CONDUCTOR, STRATEGY, OR CONNECTOR, OR ANY CONDUCT OF ANY THIRD PARTY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US $50). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Indemnification
You agree to indemnify, defend, and hold harmless us and our officers, contributors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use or misuse of the Service; any code, commit, deployment, or other output you accept, merge, or act upon; your violation of these Terms or any applicable law; or your violation of any third-party right, including any right of a Connector provider or a third party affected by an Agent's actions.
No service level agreement; availability and support
We make no guarantee regarding the availability, uptime, continuity, or ongoing maintenance of the Service, including any hosted component such as the Admin API, GitHub OAuth login, or entitlement/metering services. We may modify, suspend, degrade, or discontinue the Service, or any feature or hosted component of it, in whole or in part, at any time, with or without notice, and without any liability to you.
We are under no obligation to provide updates, bug fixes, security patches, new features, or technical support of any kind, and any support we do provide is offered on a purely voluntary, best-effort basis and may be discontinued at any time.
Suspension and termination
We may suspend or terminate your access to any hosted component of the Service (including authentication and entitlement enforcement) at any time, for any reason or no reason, including suspected violation of these Terms, suspected abuse of usage entitlements, or discontinuation of the Service generally. You may stop using the Service at any time. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.
Changes to these terms
We may update these Terms from time to time as the product evolves. We will update the "Last updated" date above when we do. Continued access to or use of the Service after a change becomes effective constitutes your acceptance of the revised Terms. If you do not agree to a revision, your sole remedy is to stop using the Service.
Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict-of-laws principles, except to the extent applicable law requires otherwise. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in that jurisdiction, and you consent to the personal jurisdiction of those courts.
Miscellaneous
If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of that right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
